"Liquid Schedule" or "LS" refers to the scheduling and workflow software platform provided by the Provider.
"Production" refers to the specific project or campaign being executed by Recipient, for which LS is being used during this pilot.
2. Purpose of Agreement
The purpose of this Agreement is to allow Recipient limited, no-cost access to LS for internal evaluation during an active production. The pilot is non-commercial and limited to evaluating LS’s functionality in a real-world workflow context.
3. Term
This Agreement is effective as of the date listed above and will continue until the conclusion of the specified production or until terminated by either party upon written notice.
4. Scope of Use
Recipient is granted a non-exclusive, non-transferable, revocable license to use LS for pilot evaluation only. Recipient may not duplicate, reverse-engineer, distribute, or resell LS or any of its logic, features, or components.
5. Fees
There is no cost for this pilot use. LS is provided by Provider at no charge in exchange for feedback and use case visibility.
6. Intellectual Property
All intellectual property rights, including software, documentation, user interface elements, reports, and underlying logic, remain the exclusive property of Provider. This Agreement does not confer any ownership rights to Recipient.
7. Feedback and Usage Data
Recipient agrees that Provider may collect non-personal, anonymized usage data and may use any feedback provided for the purpose of improving the LS platform. Such feedback may be used without obligation or compensation to Recipient.
8. Use Case Acknowledgment
Recipient agrees that Provider may reference this pilot engagement—including general use case, production type, and high-level outcomes—in fundraising, marketing, and product materials. No confidential material or proprietary content will be disclosed without written consent.
9. Confidentiality
Each party agrees to maintain the confidentiality of any proprietary, production-sensitive, or personally identifiable information shared during the pilot. These obligations survive termination of the Agreement.
10. Limitation of Liability
Provider offers LS “as-is” and makes no warranties regarding its performance. Provider shall not be liable for any indirect, incidental, or consequential damages arising from Recipient’s use of LS during the pilot.
11. Governing Law
This Agreement shall be governed by the laws of the State of Delaware. Any legal action shall be brought in the courts located in Delaware.
